Terms of Service

1. Acceptance of Terms
By accessing and using the NeuroPathmaker website and services, you accept and agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.
2. Services Description
NeuroPathmaker LLC provides AI consulting and implementation services for small and mid-size service businesses. Our services include AI readiness assessments, custom AI system development, deployment, and ongoing advisory support.
3. Scope of Work
All engagements are governed by a detailed Scope of Work (SOW) agreed upon by both parties before work begins. The SOW defines deliverables, timelines, acceptance criteria, and payment terms. In the event of any conflict between these Terms and a SOW, the SOW shall govern for that engagement.
4. Intellectual Property
Upon full payment, the client owns all custom code, systems, and deliverables produced under the engagement. NeuroPathmaker retains the right to use general knowledge, techniques, and methodologies developed during the engagement. Pre-existing intellectual property of either party remains the property of that party.
5. Payment Terms
Payment terms are defined in the Scope of Work for each engagement. Payments are typically structured as milestone-based. Final payment is due upon acceptance of deliverables as defined in the SOW. Late payments may accrue interest at a rate of 1.5% per month.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. Confidential information includes business processes, technical architectures, client data, and any information designated as confidential.
7. Limitation of Liability
To the maximum extent permitted by law, NeuroPathmaker LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our services. Our total liability shall not exceed the amount paid by the client for the specific engagement giving rise to the claim.
8. Termination
Either party may terminate an engagement with 30 days written notice. Upon termination, the client is responsible for payment for all work completed and approved up to the termination date. All completed deliverables and source code will be transferred to the client.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas. Any disputes arising from these Terms shall be resolved in the courts of Harris County, Texas.
10. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page. Continued use of our services after changes constitutes acceptance of the modified Terms.
